These General Terms and Conditions (GTC) apply to all contracts concluded between SAJ Connect GmbH (hereinafter „Provider“) and its clients (hereinafter „Client“).

The Client’s differing, conflicting or supplementary general terms and conditions shall only become part of the contract if the Provider has expressly agreed to their application in writing.

The Provider’s offers are non-binding. A contract is only formed upon the Provider’s written order confirmation or upon commencement of service delivery.

Verbal side agreements require written confirmation by the Provider to be legally effective.

The scope of services to be rendered is defined by the respective service description or individual offer. Any changes to the scope of services require written agreement.

The Provider is entitled to have partial services performed by qualified third parties (subcontractors) where this is objectively justified.

Fees are based on the agreed offer or the Provider’s price list at the time of contract conclusion. All prices are exclusive of statutory VAT.

Invoices are due within 14 days of the invoice date without deduction, unless expressly agreed otherwise.

In the event of late payment, the Provider is entitled to charge default interest at 9 percentage points above the applicable base rate pursuant to § 247 BGB.

The Client is obliged to support the Provider in rendering the agreed services in a reasonable manner. This includes in particular:

• Timely provision of required information, access credentials and materials
• Designation of a competent point of contact
• Prompt acceptance of services and timely feedback on any complaints

Delays caused by inadequate cooperation on the part of the Client shall not be attributable to the Provider.

Both parties undertake to treat all confidential information obtained in the course of their cooperation as confidential and not to disclose it to third parties.

Personal data is processed exclusively in accordance with applicable data protection regulations, in particular the GDPR. Further details are set out in our Privacy Policy.

The Provider is liable without limitation for damages arising from injury to life, body or health, and for damages caused intentionally or by gross negligence.

Otherwise, the Provider’s liability is limited to foreseeable, contract-typical damages. Liability for indirect damages, in particular loss of profit, is excluded to the extent permitted by law.

The above limitations of liability also apply to the personal liability of the Provider’s employees, representatives and vicarious agents.

All rights to works, concepts, software and other results created by the Provider remain with the Provider until full payment of the agreed fees.

Upon full payment, the Client receives a simple, non-transferable right of use for the created works for the contractually agreed purpose.

Ongoing contracts may be terminated by either party with 4 weeks‘ notice to the end of a calendar month, unless a different term has been agreed in the individual contract.

The right to terminate for cause remains unaffected. Good cause exists in particular if the Client is in default of payment and fails to pay despite a formal reminder.

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent permitted by law, Nuremberg. The Provider is however also entitled to bring proceedings at the Client’s general place of jurisdiction.

Should individual provisions of these GTC be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid regulation that comes closest to the economic purpose of the invalid provision.
